Acceptance of Terms

By creating an account or using the CBAMCalc platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you (or your organisation) and Ta-meri Systems ("we", "us", "our"), the operator of CBAMCalc.

If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Description of Service

CBAMCalc is a software-as-a-service (SaaS) platform providing CBAM (Carbon Border Adjustment Mechanism) compliance tools, including embedded emissions calculation, exposure modelling, quarterly report generation, and AI-driven insights.

The Service is provided for informational and operational assistance purposes only. It does not constitute legal, tax, or regulatory advice. You remain solely responsible for ensuring your CBAM compliance obligations are met. We recommend consulting a qualified legal or regulatory adviser for advice specific to your circumstances.

Account Registration & Security

You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must notify us immediately at security@cbamcalc.company if you suspect unauthorised access. We reserve the right to suspend or terminate accounts that show signs of compromise or misuse.

One account may be used by one individual user. Sharing credentials across multiple users is prohibited unless you have purchased a multi-seat plan.

Subscription & Billing

Subscriptions are billed through Paddle (paddle.com), our authorised Merchant of Record. Paddle processes all payments and issues invoices. By subscribing, you also agree to Paddle's terms of service.

Subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled. You may cancel at any time through the in-app Billing page. Cancellation takes effect at the end of the current billing period — you retain access until then.

We reserve the right to change subscription pricing with 30 days' notice. Price changes apply to the next renewal cycle.

Acceptable Use

You agree not to: (a) reverse engineer, decompile, or disassemble any part of the Service; (b) use automated scripts, bots, or scrapers to extract data from the platform; (c) resell, sublicense, or white-label the Service without a separate written agreement; (d) use the Service to store or transmit unlawful content; (e) attempt to gain unauthorised access to any system or network; (f) use the Service in any way that could impair its availability or performance for other users.

Violation of these restrictions may result in immediate account termination without refund.

Intellectual Property

The CBAMCalc platform, including its software, design, algorithms, databases, and documentation, is owned by Ta-meri Systems and protected by intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

You retain ownership of all data you upload to the platform ("Customer Data"). You grant us a limited licence to process your Customer Data solely to provide the Service. We do not claim ownership of your data.

Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, available at cbamcalc.company/privacy. By using the Service, you consent to the data practices described in that policy.

We process personal data in accordance with the EU General Data Protection Regulation (GDPR). A Data Processing Agreement (DPA) is available to paid subscribers on request at legal@cbamcalc.company.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) calculation results will be free from errors; (c) the Service will meet all your specific compliance requirements. You use the Service at your own risk.

Limitation of Liability

To the maximum extent permitted by applicable law, Ta-meri Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

As Paddle acts as our Merchant of Record for all payment transactions, payment-related disputes may also be subject to Paddle's terms and applicable jurisdiction.

Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

The current version of these Terms is always available at cbamcalc.company/terms. The version number and effective date are shown at the top of this page.
